Video release agreement
The Tandem mobile application and Tandem website www.requesttandem.com (“collectively, “Platform”) is operated by Tandem Platforms, Inc. (“Tandem"), a Delaware corporation. Throughout this Video Release Agreement (“Release”), the terms "We", "Us" and "Our" refer to Tandem and "You" and "Your" mean a user of the Platform.
This Video Release Agreement (“Agreement”) is effective as of the date of consent in Your enrollment process on the Platform and is between Tandem and You.
1. Description of Video Content: You are contributing video content (the “Content”), specifically performances in videos intended for use within the Tandem Platform and marketing and advertising, both on and off the Platform. The Content includes, but is not limited to, visual and audio recordings of You demonstrating or performing specific actions or tasks that serve as instructional or illustrative examples for Tandem users to become comfortable using the platform. These materials are designed to facilitate a smooth and engaging learning experience, helping users to effectively navigate and utilize Tandem's features and functionalities.
2. Grant of Rights: You grant Tandem the right to utilize the Content for various purposes, including but not limited to showcasing how the Tandem app works through example videos on Tandem's social media accounts, website, and other marketing or educational platforms. This grant is intended to ensure that potential and current users can visually understand the functionality and value of the Tandem Platform. You acknowledge that Company is not obligated to use the Content in any manner at any time, and that the rights granted herein by You do not confer in You any rights of ownership in the Platform, or any part thereof, all of which shall be and remain the exclusive property of Tandem. If Your Content is used, You hereby release, discharge, and agree to hold harmless Tandem from any liability resulting from the use of the Content, or any information therein, in accordance with the terms hereof, including from claims that the use of the Content is libelous, invades Your privacy or infringes upon Your right of publicity, or is a misrepresentation of You.
3. Content Removal in Good Faith: Should You request the removal of Your content from the Tandem platform or any other platform where it has been used, Tandem agrees to work in good faith with You to discuss the reasons for the removal request and, if reasonable and practicable, to find a suitable solution that respect Your wishes while considering the interests of Tandem and its Platform users.
4. Waiver of Rights: You waive any right to inspect or approve the final use of the Content. You understand and agree that You will not receive any monetary compensation for the provision or use of the Content in accordance with this Release, and hereby waive any claim for such monetary compensation from Tandem. 5. Release of Claims: You agree to release and hold harmless the Tandem, from any claims, demands, or liabilities that may arise in connection with the Content.
6. Representation and Warranties: You represent and warrant that You have all the necessary rights to share this Content and that its use by Tandem will not infringe on any third party's rights. . You agree that You are a legally competent adult and have the right to contract in Your own name, or You are the parent or guardian of the minor shown in the Content. You agree that You have read this document and fully understand its contents. This release shall be binding upon You and Your heirs, legal representatives, and assigns.
7. Entire Agreement: This document reflects our entire agreement and supersedes any prior understandings or agreements regarding the Content.
